By accessing and using AutoMarket's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
Permission is granted to temporarily download one copy of the materials on AutoMarket's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials.
AutoMarket releases vendor payouts on a milestone schedule tied to shipment lifecycle. For each order:
Released funds are transferred to your connected Stripe account and follow Stripe's standard bank payout schedule from there. Funds for orders that are refunded, returned, or cancelled before release are not transferred. AutoMarket reserves the right to extend the release timeline for orders flagged for fraud review or where the carrier has not recorded delivery.
Vendor is financially liable for all chargebacks, refunds, and disputes related to their listings, regardless of cause, including but not limited to: claims of non-delivery, claims of items not as described, fraud disputes, and authorization disputes. AutoMarket will pursue dispute resolution on Vendor's behalf using available evidence (carrier tracking, delivery confirmation, product information, and platform records). Any net loss after Stripe's chargeback resolution, including the disputed amount and Stripe's chargeback fee, will be debited from Vendor's available account balance, then from future payouts, and then from Vendor's reserve. Vendor agrees to maintain sufficient funds or future sales volume to cover potential chargebacks. Persistent chargeback rates exceeding 1% of Vendor's monthly transaction volume may result in account suspension.
AutoMarket operates as a marketplace facilitator. In states where AutoMarket has nexus or where marketplace facilitator laws apply, AutoMarket is responsible for calculating, collecting, and remitting sales tax on transactions completed through the platform. Sales tax is calculated based on the buyer's shipping address, the taxability of the product category, and current rates published by the relevant state and local taxing authorities. Calculation is performed at checkout by Stripe Tax.
Applicable sales tax will be displayed on the checkout summary before order confirmation. Tax-exempt buyers (resale certificates, agricultural exemptions, government purchases) must provide certification documentation prior to purchase by contacting support; AutoMarket cannot retroactively remove sales tax from completed orders.
In states where AutoMarket collects and remits sales tax on your behalf, you are not required to register for, collect, or remit sales tax on transactions completed through AutoMarket. You remain responsible for sales tax on transactions completed outside the AutoMarket platform, for income tax on your AutoMarket earnings, and for sales tax in states where AutoMarket is not registered as a marketplace facilitator. AutoMarket will provide an annual sales tax summary in your seller dashboard.
Payment processing services for vendors on AutoMarket are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. By selling on AutoMarket, you agree to be bound by these agreements, which may be modified by Stripe from time to time. As a condition of AutoMarket enabling payment processing services through Stripe, you agree to provide AutoMarket accurate and complete information about you and your business, and you authorize AutoMarket to share it and transaction information related to your use of the payment processing services provided by Stripe.
AutoMarket uses Stripe to make payouts to vendors. The Stripe Recipient Agreement applies to your receipt of payouts.

In no event shall AutoMarket or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on AutoMarket's website, even if AutoMarket or a representative has been notified orally or in writing of the possibility of such damage.
You agree to indemnify, defend, and hold harmless AutoMarket and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand made by any third party due to or arising out of your breach of these Terms of Service or your violation of any law or the rights of a third party.
We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever including but not limited to a breach of the Terms.
Upon termination, your right to use the service will cease immediately.
These terms and conditions are governed by and construed in accordance with the laws of the State in which AutoMarket is incorporated, and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
